Terms and Conditions
These Terms govern the use of SiteReply and the contractual relationship between the provider and the customer. The German version is authoritative.
1. Provider, scope and business customers
The contracting provider is Maxim Jochim, trading as IT-Beratung Jochim (sole proprietorship), Europa-Allee 101, 60486 Frankfurt am Main.
SiteReply is provided to business customers for use in their commercial or self-employed professional activities. By accepting these Terms, the customer confirms that the contract is concluded for business purposes and as an entrepreneur within Section 14 BGB.
2. Contract and account
The contract is formed by acceptance of these terms and the incorporated DPA plus account activation or Stripe Checkout confirmation. Business information must be accurate and account access must be protected.
3. Service
SiteReply provides SaaS tools to configure AI assistants from customer content and embed them on websites. The selected plan and current service description define the scope.
AI output is probabilistic. SiteReply does not promise that every answer is correct, complete or suitable for legal, medical, financial or other professional reliance.
4. Trial, prices and payment
Marked plans include a seven-day trial requiring a payment method. Unless cancelled in time, the paid subscription starts after the trial.
Prices are shown in euros including stated VAT. Stripe handles invoicing, payment and tax calculation.
5. Term and cancellation
Monthly and annual subscriptions renew for the selected term unless cancelled before period end through the customer portal. Ordinary cancellation normally leaves access active until period end.
6. Customer obligations
- Provide only content backed by sufficient rights and legal grounds
- Inform visitors about AI use and data processing
- Do not submit illegal, harmful, unsafe or abusive material
- Apply human review in high-risk contexts
- Do not process special-category data without prior agreement and safeguards
7. Content rights
Customers retain their content rights and grant SiteReply the rights required to host, process, embed and use that content to provide responses. Platform rights remain with SiteReply.
8. Data processing
Where SiteReply acts as processor, the DPA at /avv forms part of the contract. Approved subprocessors are listed at /subprocessors.
9. Availability
SiteReply aims for reliable operation but does not guarantee uninterrupted availability unless a separate SLA applies. Maintenance, security actions and third-party dependencies can temporarily restrict service.
10. Liability
Liability is unlimited for intent, gross negligence, injury to life, body or health, and mandatory law. For slight negligence affecting an essential duty, liability is limited to typical foreseeable loss. Other liability for slight negligence is excluded.
11. Suspension and termination
SiteReply may reasonably suspend access for non-payment, substantial security risks or material breach. Following termination, data is deleted or returned under the contract and applicable law.
12. Final provisions
German law applies, excluding the CISG. Frankfurt am Main is the exclusive venue where legally permitted.
The German text controls. Material future changes will be announced by email before taking effect.
